SEVEN PRINCIPLES AG plans to spin-off its business divisions

Cologne, 8.4.2020. SEVEN PRINCIPLES AG (7P), a German IT consulting and service company with a focus on the digitalisation of business models, intends to spin off its three business divisions into three separate subsidiaries. The spin-off is still subject to the necessary approvals.

The independence of the business units with existing individual profit centres forms a logical next step in implementing the corporate strategy. As a result, SEVEN PRINCIPLES AG is more strongly aligned with its individual target groups and is focusing on the needs of the different customer segments.

The three business divisions are to be managed independently in the future and so be capable of more flexible control, which should make it easier to identify operational opportunities and risks. This stronger entrepreneurial focus is intended to facilitate more direct market- and competition-driven management of the business divisions. After the spin-off is completed, SEVEN PRINCIPLES AG will be purely a holding company for the corporate group.

The spin-off of the business divisions to the three subsidiaries requires the approval of the Supervisory Board and the Annual General Meeting of SEVEN PRINCIPLES AG as well as of the shareholders’ meeting of the subsidiaries. A resolution on the approval of the Annual General Meeting is to be passed on 18 June 2020.
